Terms and Conditions

These Terms and Conditions (“Terms”) govern your access to and use of LingoYoga, including our website, web application, mobile application, language-learning tools, flashcards, learning paths, games, trainers, quizzes, subscriptions, and related services (collectively, the “Services”).
The Services are operated by RazonX DevHaus Private Limited, a company incorporated in India (“RazonX”, “LingoYoga”, “we”, “us”, or “our”).
By creating an account, accessing the Services, starting a free trial, purchasing a subscription, or otherwise using LingoYoga, you agree to be bound by these Terms, our Privacy Policy, our Refund and Cancellation Policy, and any other policies, notices, or feature-specific terms incorporated into or made applicable to the Services by reference.
Please read these Terms carefully. They contain important provisions affecting your legal rights, including provisions on subscriptions, refunds, cancellation, user content, intellectual property, disclaimers, limitation of liability, indemnity, suspension, termination, governing law, and jurisdiction.
If you do not agree to these Terms, you must not access or use the Services.
Our Refund and Cancellation Policy explains how free trials, subscriptions, renewals, cancellations, refunds, billing issues, payment-provider rules, and future paid or metered features are handled.
We have included a plain-English summary at the end of these Terms for convenience. That summary is not a substitute for these Terms and does not limit, replace, or modify the provisions below. If the summary conflicts with these Terms, these Terms will prevail.
1. Eligibility
LingoYoga is intended for users aged 13 and above.
If you are under 18, you may use the Services only with the consent and supervision of your parent or legal guardian. By using the Services, you confirm that you are at least 18, or that you are at least 13 and have obtained permission from your parent or legal guardian.
LingoYoga is not intended for children under 13. You must not create an account or use the Services if you are under 13.
If you use the Services on behalf of another person, organisation, school, company, or legal entity, you represent that you have authority to accept these Terms on their behalf.
We may refuse, suspend, restrict, or terminate access if we reasonably believe that a user does not meet these eligibility requirements.
2. Parent, Guardian, and Student Use
If you are a parent or legal guardian permitting a minor to use LingoYoga, you are responsible for that minor’s use of the Services and for ensuring that the minor complies with these Terms.
If a school, teacher, institution, or organisation wishes to provide LingoYoga access to students, separate written terms may be required. Unless we expressly agree otherwise in writing, LingoYoga’s public consumer terms apply only to individual users and not to institution-administered student programmes.
3. Your Account
You may need an account to access certain features. You agree to provide accurate information and to keep your login credentials secure.
You are responsible for all activity that occurs through your account, except where caused by our breach of these Terms or applicable law.
You must not:
- share, sell, rent, transfer, or sublicense your account;
- create accounts using false, misleading, or unauthorised information;
- impersonate another person;
- use another user’s account without permission; or
- attempt to bypass login, payment, subscription, security, or access controls.
You must notify us promptly at help@lingoyoga.com if you suspect unauthorised access to your account.
4. The Services
LingoYoga provides language-learning tools designed to help users practise, review, and strengthen language skills. Features may include:
- manual flashcard creation;
- image flashcards;
- bulk flashcard generation through CSV import;
- mistake-generated flashcards;
- spaced-repetition review;
- typed-answer review;
- recognition-style review;
- learning paths;
- language trainers;
- quizzes, games, and practice tools;
- progress tracking;
- downloadable or printable learning materials; and
- audio, speech, text-to-speech, speech-to-text, AI-assisted, or other learning features.
We may add, modify, limit, suspend, rename, remove, or discontinue any feature at any time, subject to applicable law and any specific commitments we make to paying users.
Some features may be experimental, beta, incomplete, or subject to usage limits. We may label such features as beta, preview, experimental, early access, or similar.
5. No Guaranteed Learning Outcome
LingoYoga is an educational tool. It does not guarantee fluency, exam success, immigration outcomes, employment outcomes, academic results, professional certification, or any particular level of language proficiency.
Your progress depends on many factors, including your effort, consistency, prior knowledge, learning environment, study habits, language exposure, and personal circumstances.
Any examples, testimonials, progress indicators, streaks, scores, review schedules, or learning estimates are illustrative and should not be treated as guarantees.
6. No Professional Advice
The Services are provided for educational and language-learning purposes only.
LingoYoga does not provide legal, medical, psychological, financial, immigration, academic, employment, or professional advice. You should not rely on language-learning content generated or displayed through the Services as professional advice.
7. Subscription, Free Trial, Billing, and Access
All or certain features of the Services may require a paid subscription or other paid access arrangement.
At launch, LingoYoga subscriptions are intended to be offered on a monthly basis, unless otherwise stated at the point of purchase.
We may offer a 14-day free trial. If you start a free trial, you may be required to provide valid payment details before or during the trial. Unless you cancel before the free trial ends, your paid subscription may begin automatically at the end of the trial, and you may be charged the applicable subscription fee.
Subscriptions renew automatically at the end of each billing period unless cancelled in accordance with these Terms, our Refund and Cancellation Policy, and the terms of the applicable merchant of record, payment provider, or app store.
The price, currency, billing period, taxes, features, usage limits, renewal terms, and cancellation method applicable to your subscription will be shown at or before checkout.
Your subscription gives you access to the applicable paid features only while your subscription remains active, paid, and in good standing.
We may change subscription plans, features, prices, usage limits, or billing arrangements from time to time. Where required by applicable law, we will provide reasonable notice of material price changes affecting existing paid subscribers.
8. Merchant of Record, Payment Provider, and App Stores
Payments may be processed by a merchant of record, a payment processor, an app store, or another third-party payment provider.
Where a merchant of record, payment processor, app store, or similar provider handles payments, subscriptions, taxes, invoices, renewals, cancellations, refunds, disputes, chargebacks, or fraud checks, their terms, policies, and privacy notices may also apply.
We do not intend to collect or store full card numbers or sensitive payment credentials. Payment information is handled by the applicable payment provider.
You are responsible for ensuring that your billing information is accurate and that your payment method remains valid.
If payment fails, we or our payment provider may suspend, downgrade, restrict, or terminate access to paid features.
9. Cancellation and Refunds
Your cancellation and refund rights are governed by our Refund and Cancellation Policy, these Terms, the terms shown at checkout, and any applicable merchant-of-record, payment-provider, or app-store terms.
Unless otherwise required by applicable law or expressly stated in our Refund and Cancellation Policy:
- subscription fees are generally non-refundable after the free trial ends;
- we do not provide refunds or credits for partial billing periods;
- cancellation stops future renewals but does not automatically refund past charges;
- failure to use the Services during a billing period does not create a refund right; and
- refunds may be considered for duplicate charges, technical non-delivery, billing errors, or other exceptional circumstances at our discretion or as required by applicable law.
If you subscribed through a merchant of record, payment processor, or app store, you may need to cancel or request refunds through that provider. We are not responsible for delays, refusals, processing rules, or refund decisions made by third-party payment providers, except to the extent required by applicable law.
Future paid or metered features, including possible text-to-speech, audio downloads, speech tools, AI-assisted features, or API-dependent features, may be subject to separate usage limits, credit rules, non-refundable consumed-credit rules, or additional terms.
Dissatisfaction with the output of a third-party API, speech engine, AI model, audio generator, translation system, or similar tool does not automatically create a refund right, unless required by applicable law or expressly stated in applicable feature-specific terms.
10. Localised Pricing, PPP Pricing, and Abuse Prevention
LingoYoga may offer localised pricing, purchasing options, currencies, taxes, promotions, or subscription availability based on country, region, payment method, currency, tax rules, purchasing power, or other relevant factors.
You must provide accurate billing, country, tax, residency, and payment information where required.
You must not use VPNs, proxies, false addresses, false payment details, account sharing, payment manipulation, location manipulation, or similar methods to obtain pricing, taxes, access, offers, or subscription terms not intended for your actual location, eligibility, or lawful tax position.
If we reasonably suspect pricing abuse, payment abuse, fraud, chargeback abuse, false account information, or violation of this section, we may, to the fullest extent permitted by applicable law:
- correct the applicable price;
- cancel or refuse a transaction;
- suspend, restrict, or terminate your account;
- revoke access to paid features;
- deny refunds;
- require additional verification; and
- report suspected fraud or unlawful activity to relevant providers, authorities, or affected parties.
11. Licence to Use LingoYoga
Subject to your compliance with these Terms, we grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Services for your own personal, non-commercial language-learning purposes.
You may not use the Services for commercial teaching, institutional training, resale, tutoring businesses, classroom deployment, corporate training, content redistribution, or other commercial purposes unless we expressly agree in writing.
12. Our Intellectual Property
LingoYoga, RazonX, the Services, software, code, design, interface, graphics, logos, branding, databases, learning paths, trainers, games, exercises, prompts, explanations, review flows, scoring systems, feature names, and original content are owned by RazonX or its licensors and are protected by intellectual property and other laws.
Except as expressly permitted by these Terms, you must not:
- copy, reproduce, modify, adapt, translate, sell, rent, licence, distribute, publish, or exploit the Services;
- reverse engineer, decompile, disassemble, or attempt to extract source code;
- scrape, crawl, harvest, download, or bulk-extract content or data;
- remove copyright, trademark, or proprietary notices;
- use our branding without permission; or
- create competing products using our content, design, datasets, learning flows, or platform structure.
No rights are granted to you except those expressly stated in these Terms.
13. User Content
“User Content” means any content that you create, upload, import, paste, type, generate, store, or otherwise provide through the Services, including text, images, flashcards, notes, examples, translations, prompts, answers, CSV or Excel imports, and study materials.
You retain ownership of your User Content, subject to the rights you grant us under these Terms.
By using the Services, you grant RazonX a worldwide, non-exclusive, royalty-free, sublicensable, transferable licence to host, store, back up, reproduce, process, format, display, transmit, analyse, transform, and otherwise use your User Content solely as reasonably necessary to:
- provide, operate, maintain, and improve the Services;
- operate and secure your account;
- display your flashcards and learning material to you;
- generate mistake-based flashcards;
- run spaced-repetition review;
- provide downloads, exports, or printable materials;
- maintain backups;
- debug, monitor, protect, and secure the Services;
- comply with applicable law;
- enforce these Terms; and
- investigate suspected fraud, abuse, infringement, security incidents, or unlawful activity.
We do not claim ownership of your private flashcards.
At launch, user-created flashcards are private by default. We do not offer public community decks at launch.
Unless we expressly state otherwise and obtain any consent required by applicable law, we will not use your private flashcards to train public or third-party AI models.
14. Your Responsibility for User Content
You are solely responsible for your User Content and for ensuring that you have all rights, licences, consents, permissions, and lawful bases necessary to create, upload, import, store, and use that content through LingoYoga.
You must not create, upload, import, store, or use User Content that:
- infringes copyright, trademark, privacy, publicity, personality, moral rights, database rights, confidentiality rights, contractual rights, or other rights;
- includes textbook extracts, paid course materials, copyrighted images, copyrighted passages, private materials, third-party translations, or third-party content unless you have the necessary rights;
- contains personal data of other people without lawful permission and without complying with applicable privacy, data-protection, confidentiality, and consent requirements;
- contains student lists, classroom lists, client records, employee records, financial data, health data, identity documents, passwords, authentication credentials, or confidential information;
- is unlawful, defamatory, fraudulent, misleading, hateful, violent, abusive, harassing, sexually explicit, exploitative, discriminatory, extremist, or otherwise inappropriate;
- harms or exploits minors in any way;
- contains malware, harmful code, spyware, tracking code, or other malicious material; or
- violates any applicable law, third-party terms, licence terms, or contractual obligation.
If you voluntarily upload information or material that you should not have uploaded, you remain responsible for that content and for any consequences arising from it.
We are not responsible for reviewing User Content before it is created, uploaded, imported, or stored. We may, however, remove, restrict, disable, or delete User Content if we reasonably believe that it violates these Terms, our policies, applicable law, or the rights of any person.
15. Image Cards
If you upload images to create image flashcards, you represent and warrant that you have the necessary rights and permissions to use those images.
You must not upload images that contain:
- copyrighted material without permission;
- images of other people without lawful permission;
- identity documents;
- confidential, private, financial, medical, or sensitive information;
- classroom, student, or client information; or
- explicit, violent, hateful, abusive, exploitative, discriminatory, defamatory, or unlawful content.
We may store uploaded images to provide the Services. We may also remove or restrict access to images that violate these Terms.
16. Bulk Imports
If you use any bulk-import features, you are responsible for reviewing the material before upload.
You must not bulk-import personal data, confidential information, copyrighted material, classroom lists, student records, client records, employee records, or third-party materials unless you have all necessary rights, permissions, and lawful bases.
We are not responsible for reviewing bulk-import files before they are uploaded.
17. Prohibited Conduct
You must not use the Services to:
- violate any law;
- infringe the rights of any person;
- upload unlawful, harmful, abusive, hateful, violent, discriminatory, sexually explicit, defamatory, or exploitative content;
- harass, threaten, impersonate, or deceive others;
- access or attempt to access another user’s account;
- interfere with the security or operation of the Services;
- bypass access controls, subscription limits, payment systems, rate limits, or usage limits;
- scrape, crawl, harvest, copy, or bulk-download data or content;
- use bots, scripts, automation, or automated account creation without permission;
- reverse engineer, decompile, or attempt to extract source code;
- test the vulnerability of our systems without written permission;
- introduce malware, spyware, harmful code, or security exploits;
- abuse free trials, refunds, chargebacks, localised pricing, promotions, or payment systems;
- resell, redistribute, sublicense, or commercially exploit the Services without permission; or
- use the Services to build, train, benchmark, or improve a competing product without written permission.
18. Third-Party Services and Dependencies
The Services may rely on third-party providers, including providers of hosting, databases, storage, authentication, payments, merchant-of-record services, tax compliance, fraud prevention, analytics, error monitoring, email, notifications, AI, text-to-speech, speech-to-text, browser speech recognition, and other technical services.
Your use of third-party login, payment, browser, device, app-store, AI, speech, audio, or similar functionality may be subject to the terms, policies, and privacy notices of those third parties.
To the fullest extent permitted by applicable law, we are not responsible for failures, interruptions, errors, delays, data loss, output quality, pricing changes, policy changes, discontinuation, or unavailability caused by third-party services outside our reasonable control.
Nothing in this clause limits any responsibility we may have under applicable law for our own acts or omissions.
19. AI-Generated Voices, Audio, Speech, TTS, and STT Features
LingoYoga may use text-to-speech, synthetic audio, or AI-generated voice technology to provide spoken examples, pronunciation support, audio flashcards, listening practice, verbal review, or similar learning features.
Where you hear a text-to-speech or synthetic voice in LingoYoga, the voice is AI-generated and is not a human voice.
We may also introduce AI-assisted, audio, speech-to-text, pronunciation, verbal review, or audio-download features in the future.
Such features may depend on browser-native functionality or third-party APIs. They may be subject to additional terms, usage limits, paid credits, fair-use limits, or technical restrictions.
Where speech recognition is browser-based, speech may be processed by your browser, device, operating system, or browser provider. Unless expressly stated otherwise, LingoYoga does not intentionally store raw voice recordings for browser-based speech recognition.
Third-party AI, speech, audio, or translation outputs may be inaccurate, incomplete, unnatural, delayed, unavailable, or unsuitable for your purpose. You are responsible for reviewing outputs before relying on them.
Dissatisfaction with such outputs does not automatically create a refund right, unless required by applicable law or expressly stated in applicable feature-specific terms.
20. Downloads, Prints, and Exports
The Services may allow you to download, print, or export flashcards, learning materials, or audio files.
Downloads, prints, and exports are for your personal learning use only, unless we expressly permit otherwise.
You are responsible for ensuring that any downloaded, printed, or exported User Content does not infringe third-party rights or violate applicable law.
We may limit, meter, suspend, or charge separately for downloads, prints, exports, audio generation, or other resource-intensive features.
21. Feedback
If you provide feedback, suggestions, ideas, bug reports, feature requests, or other comments about LingoYoga, you grant us a worldwide, perpetual, irrevocable, royalty-free licence to use, modify, implement, publish, and exploit that feedback without restriction or compensation to you.
You agree that feedback is not confidential unless we expressly agree otherwise in writing.
22. Privacy
Our collection and use of personal data is described in our Privacy Policy.
By using the Services, you acknowledge that you have read the Privacy Policy.
23. Copyright and Rights Complaints
If you believe that content stored, displayed, or made available through LingoYoga infringes your rights, please contact us at legal@lingoyoga.com with:
- your name and contact details;
- identification of the content complained of;
- the rights you claim are infringed;
- sufficient information for us to locate the content;
- a statement that you believe in good faith that the use is unauthorised; and
- any supporting documents reasonably necessary to assess the complaint.
We may remove or restrict access to content where we reasonably believe it infringes rights, violates law, or breaches these Terms.
We may terminate or restrict accounts that repeatedly infringe third-party rights.
24. Suspension and Termination
We may suspend, restrict, downgrade, or terminate your access to the Services if we reasonably believe that:
- you breached these Terms;
- you violated applicable law;
- your account is being used fraudulently or unlawfully;
- your payment fails, is reversed, is disputed, or is subject to a chargeback;
- you abused free trials, refunds, localised pricing, promotions, or payment systems;
- your User Content violates these Terms;
- your use creates legal, security, operational, reputational, or commercial risk for LingoYoga, RazonX, users, service providers, or third parties; or
- suspension, restriction, or termination is necessary to protect the security, integrity, availability, or lawful operation of the Services.
You may stop using the Services at any time. You may also request deletion of your account through any account-deletion tool we make available or by contacting us at privacy@lingoyoga.com. Account deletion may result in loss of access to your account, flashcards, learning progress, review history, subscription-linked features, and other account data. Deletion of your account does not automatically cancel any active subscription processed by a merchant of record, payment provider, or app store; you may need to cancel your subscription separately through the applicable provider. The deletion, retention, de-identification, and backup handling of personal data associated with your account are described in our Privacy Policy.
Termination does not affect rights, obligations, liabilities, or remedies that arose before termination.
The provisions of these Terms which, by their nature, are intended to survive termination shall survive termination of these Terms or your access to the Services, including provisions concerning intellectual property, User Content, payment consequences, refunds, prohibited conduct, third-party services, disclaimers, limitation of liability, indemnity, dispute resolution, governing law, consumer rights, severability, no waiver, entire agreement, and any accrued rights, obligations, liabilities, or remedies.
25. Service Availability and Changes
We aim to provide a reliable service, but we do not guarantee that the Services will always be available, uninterrupted, secure, error-free, or compatible with every device, browser, operating system, network, or region.
The Services may be unavailable due to maintenance, upgrades, bugs, outages, security incidents, third-party failures, internet disruptions, force majeure events, legal requirements, or operational decisions.
We may modify, suspend, restrict, or discontinue any part of the Services, subject to applicable law and any specific commitments made to paying users.
26. Disclaimers
THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, REPRESENTATIONS, CONDITIONS, UNDERTAKINGS, OR GUARANTEES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AVAILABILITY, SECURITY, COMPATIBILITY, AND UNINTERRUPTED OR ERROR-FREE OPERATION.
WE MAY USE THIRD-PARTY TOOLS, OPEN-SOURCE SOFTWARE, DEVELOPER TOOLS, AI-ASSISTED CODING TOOLS, AUTOMATED TESTING TOOLS, AND SIMILAR TECHNOLOGIES TO DESIGN, DEVELOP, TEST, MAINTAIN, SECURE, AND IMPROVE THE SERVICES. WE REMAIN RESPONSIBLE FOR OPERATING THE SERVICES IN ACCORDANCE WITH THESE TERMS, BUT WE DO NOT WARRANT THAT THE SERVICES, CODE, DEPENDENCIES, INTEGRATIONS, OR TECHNICAL SYSTEMS WILL BE FREE FROM BUGS, VULNERABILITIES, INTERRUPTIONS, DEFECTS, INCOMPATIBILITIES, OR ERRORS.
WE DO NOT WARRANT, REPRESENT, OR GUARANTEE THAT:
- THE SERVICES WILL MEET YOUR EXPECTATIONS OR REQUIREMENTS;
- THE SERVICES WILL PRODUCE ANY PARTICULAR LEARNING OUTCOME;
- THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR AVAILABLE AT ALL TIMES;
- ALL LANGUAGE CONTENT, TRANSLATIONS, EXAMPLES, AUDIO, AI OUTPUTS, SPEECH OUTPUTS, OR CORRECTIONS WILL BE ACCURATE, COMPLETE, NATURAL, OR SUITABLE FOR YOUR PURPOSE;
- MISTAKES, BUGS, DATA LOSS, DOWNTIME, SECURITY INCIDENTS, OR TECHNICAL FAILURES WILL NEVER OCCUR;
- THIRD-PARTY SERVICES WILL REMAIN AVAILABLE, AFFORDABLE, ACCURATE, COMPATIBLE, OR UNCHANGED; OR
- USER CONTENT WILL NEVER BE LOST, CORRUPTED, DELETED, MISDELIVERED, DELAYED, OR UNAVAILABLE.
NOTHING IN THESE TERMS EXCLUDES WARRANTIES, RIGHTS, REMEDIES, OR LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.
27. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, RAZONX DEVHAUS PRIVATE LIMITED, ITS DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, LICENSORS, SERVICE PROVIDERS, AND REPRESENTATIVES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, PUNITIVE, OR SIMILAR DAMAGES, OR FOR ANY LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, LOSS OF GOODWILL, LOSS OF OPPORTUNITY, BUSINESS INTERRUPTION, DEVICE DAMAGE, COST OF SUBSTITUTE SERVICES, OR FAILURE TO ACHIEVE ANY LEARNING OUTCOME, WHETHER ARISING IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, STATUTE, EQUITY, OR OTHERWISE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF:
- THE TOTAL AMOUNT YOU PAID TO US FOR THE SERVICES IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR
- INR 5,000 (INDIAN RUPEES FIVE THOUSAND ONLY).
THIS IS AN AGGREGATE LIMIT. IT WILL NOT INCREASE BECAUSE MORE THAN ONE CLAIM, EVENT, INCIDENT, THEORY OF LIABILITY, OR PROCEEDING IS BROUGHT.
THE LIMITATIONS IN THIS CLAUSE APPLY TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, REGARDLESS OF THE FORM OR THEORY OF THE CLAIM, INCLUDING CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, STATUTORY CLAIM, EQUITY, OR OTHERWISE.
NOTHING IN THESE TERMS EXCLUDES OR LIMITS LIABILITY FOR FRAUD, FRAUDULENT MISREPRESENTATION, WILFUL MISCONDUCT, DEATH OR PERSONAL INJURY CAUSED BY NEGLIGENCE, OR ANY OTHER LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.
28. Indemnity
To the fullest extent permitted by applicable law, you agree to defend, indemnify, and hold harmless RazonX DevHaus Private Limited, its directors, officers, employees, contractors, affiliates, licensors, service providers, and representatives from and against any claims, demands, allegations, proceedings, losses, damages, liabilities, penalties, settlements, costs, and expenses, including reasonable legal fees, arising from or relating to:
- your User Content;
- your use or misuse of the Services;
- your breach or alleged breach of these Terms;
- your violation or alleged violation of applicable law;
- your infringement or alleged infringement of third-party rights;
- your upload, import, storage, sharing, or use of copyrighted, confidential, personal, sensitive, unlawful, or inappropriate content;
- your payment, refund, chargeback, pricing, subscription, or free-trial abuse; or
- your use of the Services on behalf of another person, school, organisation, company, or legal entity without authority.
We reserve the right to assume the exclusive defence and control of any matter subject to indemnification. You agree to cooperate with our defence of such claims.
This clause does not require you to indemnify us for claims arising solely from our own fraud, wilful misconduct, or liability that cannot be shifted to you under applicable law.
29. Consumer Rights
Nothing in these Terms is intended to exclude or limit rights that you may have under applicable consumer protection laws and that cannot lawfully be excluded or limited.
If a provision of these Terms conflicts with a mandatory consumer right applicable to you, that mandatory right will prevail only to the extent of the conflict.
30. Force Majeure
We will not be liable for delay or failure to perform caused by events beyond our reasonable control, including natural disasters, war, terrorism, civil unrest, labour disputes, internet failures, hosting failures, payment-provider failures, cyberattacks, epidemics, government action, legal restrictions, power failures, or third-party service disruptions.
31. Changes to These Terms
We may update these Terms from time to time to reflect changes in the Services, law, pricing, business operations, providers, security requirements, or policies.
If we make material changes, we may notify you by email, in-app notice, website notice, or other reasonable means.
The updated Terms will be effective from the date stated at the top, unless otherwise specified.
If a material change adversely affects your paid subscription rights during an active billing period, we will handle that change in accordance with applicable law and any cancellation or refund rights expressly provided in our Refund and Cancellation Policy.
Your continued use of the Services after the updated Terms take effect means you agree to the updated Terms.
If you do not agree to the updated Terms, you must stop using the Services and, where applicable, cancel your subscription.
32. Assignment and Business Transfers
You may not assign or transfer your rights or obligations under these Terms without our prior written consent.
We may assign, transfer, subcontract, or novate our rights and obligations under these Terms to an affiliate, subsidiary, parent company, successor, acquirer, purchaser of assets, operating company, or other entity involved in a merger, acquisition, restructuring, reorganisation, financing, sale of assets, transfer of business, or similar transaction.
This may include a future transfer of LingoYoga-related operations to a RazonX group company or operating entity. Where required by law, we will provide notice or obtain consent.
33. Governing Law and Jurisdiction
These Terms and any dispute, claim, or controversy arising out of or relating to the Services, these Terms, their subject matter, formation, validity, interpretation, performance, breach, termination, or enforceability will be governed by and construed in accordance with the laws of India, without regard to conflict-of-law principles.
Subject to applicable consumer protection laws and any mandatory rights you may have, the courts at Delhi, India will have exclusive jurisdiction over disputes arising out of or relating to these Terms or the Services.
We prefer to resolve disputes informally where possible. Before initiating legal proceedings, you agree to contact us at legal@lingoyoga.com and provide a reasonable opportunity to resolve the dispute, except where urgent injunctive, equitable, protective, or interim relief is necessary.
Nothing in this clause prevents us from seeking injunctive, equitable, protective, or interim relief in any court of competent jurisdiction where necessary to protect our intellectual property, confidential information, systems, users, or business.
34. Severability
If any provision of these Terms is found to be invalid, unlawful, or unenforceable, that provision will be modified to the minimum extent necessary to make it valid and enforceable, or severed if modification is not possible. The remaining provisions will continue in full force.
35. No Waiver
Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.
36. Entire Agreement
These Terms, together with the Privacy Policy, Refund and Cancellation Policy, Cookie Notice, and any other applicable policies or feature-specific terms, constitute the entire agreement between you and RazonX regarding the Services.

- Users under 18 need parent or guardian consent.
- LingoYoga helps you practise languages, but it does not guarantee fluency or exam results.
- Your private flashcards remain yours, but we need permission to store and process them to provide the Services.
- You must not upload copyrighted, confidential, personal, unlawful, hateful, violent, explicit, or inappropriate content.
- You are responsible for the text, images, and files you upload or import.
- Paid subscriptions may renew unless cancelled.
- After a free trial, ordinary subscription fees are generally non-refundable unless our Refund and Cancellation Policy or applicable law says otherwise.
- Do not abuse localised pricing, PPP pricing, VPNs, free trials, refunds, or payment systems.
- Voices generated through text-to-speech or synthetic audio features are AI-generated and are not human voices.
- We may use third-party tools, open-source software, AI-assisted coding tools, automated testing tools, and similar technologies to develop, maintain, secure, and improve the Services.
- We may rely on third-party providers for payments, hosting, authentication, analytics, error monitoring, and future audio or speech features.
- We may suspend or terminate accounts that violate these Terms.
- Indian law applies, and disputes are generally subject to Delhi courts, subject to mandatory consumer rights.
